Welcome to StoreSpine. These Terms of Service govern your use of the StoreSpine platform and services provided by Onlyintelligence Ltd. Please read them carefully before using our Service. By accessing or using StoreSpine, you agree to be bound by these Terms. If you are a consumer in the United Kingdom, these Terms do not affect your statutory rights.

1. About These Terms

These Terms of Service ("Terms") form a legally binding agreement between you ("you", "your", or "User") and Onlyintelligence Ltd, trading as StoreSpine ("we", "us", "our", or "StoreSpine"), governing your access to and use of the StoreSpine platform, including all associated websites, applications, APIs, and services (collectively, the "Service").

By creating an account, subscribing to a plan, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

These Terms were last updated on 7 April 2026. We recommend that you print or save a copy of these Terms for your records.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" and "your" shall refer to that entity.

Nothing in these Terms affects your statutory rights as a consumer under the laws of England and Wales, including your rights under the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

We are a company registered in England and Wales. You may contact us using any of the details above for questions regarding these Terms, our Service, or any complaint.

3. Your Account

To access the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

  • Provide truthful and accurate registration information.
  • Keep your login credentials secure and not share them with any third party.
  • Notify us immediately at support@storespine.com if you become aware of any unauthorised access to or use of your account.
  • Not create multiple accounts for the purpose of abusing promotions, free trials, or free plan limits.
  • Be at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater.

We reserve the right to suspend or terminate any account that we reasonably believe is in violation of these Terms, has been inactive for an extended period, or has been compromised.

You may delete your account at any time through your account settings or by contacting us at support@storespine.com. Account deletion is subject to our data retention obligations as described in our Privacy Policy.

4. Our Services

StoreSpine is an AI-powered marketing automation software-as-a-service (SaaS) platform. Our Service provides tools for:

  • Social media scheduling — plan, create, and publish content across multiple social media platforms from a single dashboard.
  • Email campaigns — design, automate, and send marketing emails with AI-assisted content generation and audience segmentation.
  • Customer Relationship Management (CRM) — manage contacts, track interactions, and nurture leads through your marketing funnel.
  • Analytics and reporting — monitor campaign performance, audience engagement, and return on investment with detailed dashboards and reports.
  • AI-powered features — leverage artificial intelligence for content suggestions, optimal send-time predictions, audience insights, and automated workflow recommendations.

The specific features available to you depend on your subscription plan. We reserve the right to modify, add, or remove features at any time, provided that any material reduction in core functionality of your paid plan will be communicated to you with at least 30 days' notice.

The Service is provided as digital content within the meaning of the Consumer Rights Act 2015. As such, we warrant that the Service will be of satisfactory quality, fit for a particular purpose, and as described in our marketing materials and documentation.

5. Free Trial

We offer a 14-day free trial on all paid subscription plans (Starter, Growth, and Advanced). The free trial allows you to access the full features of your chosen plan without charge for the trial period.

During the free trial:

  • You will be required to provide valid payment details when signing up for a trial of a paid plan.
  • You will not be charged during the 14-day trial period.
  • At the end of the trial period, your subscription will automatically convert to a paid subscription at the applicable rate for your chosen plan, unless you cancel before the trial period ends.
  • You may cancel your trial at any time before the trial period ends by visiting your account settings or contacting us at support@storespine.com. If you cancel during the trial, you will not be charged.
  • Each user is entitled to one free trial per plan. We reserve the right to revoke trial access if we detect abuse.

We also offer a Free plan at no cost with limited features. The Free plan does not require payment information and is available indefinitely, subject to these Terms.

6. Subscription and Payment

StoreSpine offers the following subscription plans:

All prices are inclusive of VAT where applicable.

Auto-Renewal

All paid subscriptions automatically renew at the end of each billing cycle (monthly or annually, depending on your chosen billing frequency) unless you cancel before the renewal date. By subscribing to a paid plan, you authorise us to charge your designated payment method on a recurring basis at the then-current rate for your plan.

We will send you a reminder email at least 7 days before each renewal date. You may cancel auto-renewal at any time through your account settings.

Price Changes

We may change our subscription prices from time to time. If we increase the price of your current plan, we will give you at least 30 days' written notice (by email to the address associated with your account) before the new price takes effect. The new price will apply from your next billing cycle after the notice period. If you do not agree to the price change, you may cancel your subscription before the new price takes effect, and your cancellation will be effective at the end of your current billing period.

Payment Methods

We accept payment by major credit and debit cards, and such other payment methods as we may make available from time to time. You are responsible for keeping your payment information current. If a payment fails, we may retry the charge and/or suspend your access to paid features until payment is successfully processed.

7. 14-Day Cooling-Off Period (Consumer Contracts Regulations 2013)

Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, if you are a consumer based in the United Kingdom, you have the right to cancel your subscription within 14 days of the date on which your paid subscription begins (the "cooling-off period"), without giving any reason.

How to Exercise Your Cancellation Right

To exercise your right to cancel during the cooling-off period, you must inform us of your decision by making a clear statement. You may do so by:

  • Emailing us at support@storespine.com with the subject line "Cooling-Off Cancellation".
  • Using the cancellation function in your account settings.
  • Writing to us at: Onlyintelligence Ltd, Office 13724, 182-184 High Street North, East Ham, London, E6 2JA, United Kingdom.

Effect of Cancellation

If you cancel within the cooling-off period, we will reimburse all payments received from you for the cancelled subscription without undue delay, and in any event no later than 14 days after the day on which we are informed of your decision to cancel. We will make the reimbursement using the same means of payment you used for the initial transaction, unless you have expressly agreed otherwise.

If you have requested that the Service begin during the cooling-off period and you subsequently cancel, you may be required to pay an amount proportionate to the Service provided up to the point at which you notified us of your cancellation, compared to the full coverage of the contract.

Waiver of Cooling-Off Period

By beginning to use the Service during the cooling-off period, you acknowledge and agree that you are requesting early performance of the contract. You retain your right to cancel during the cooling-off period, but any refund may be reduced proportionally for the service already received.

8. Cancellation and Refunds

Cancellation by You

You may cancel your paid subscription at any time by:

  • Navigating to your account settings and selecting "Cancel Subscription".
  • Contacting our support team at support@storespine.com.

When you cancel, your subscription will remain active until the end of your current billing period. After that, your account will be downgraded to the Free plan. You will retain access to your data, subject to the storage limits of the Free plan.

Refunds

Outside of the statutory 14-day cooling-off period described in Section 7, subscription fees are generally non-refundable. However, we may, at our sole discretion, offer a full or partial refund in exceptional circumstances, such as:

  • Prolonged service outages caused by us that materially affect your use of the Service.
  • A billing error on our part.
  • The Service not meeting the quality standards required by the Consumer Rights Act 2015 (see Section 9).

Refund requests should be directed to support@storespine.com. We aim to respond to all refund requests within 5 business days.

Downgrading

You may downgrade your plan at any time. Downgrades take effect at the start of your next billing cycle. No partial refund is provided for the remainder of the current billing period on the higher-tier plan, except where required by law.

9. Your Rights Under the Consumer Rights Act 2015

If you are a consumer in the United Kingdom, the Consumer Rights Act 2015 gives you certain statutory rights in relation to digital content and services. These rights cannot be excluded or limited by these Terms.

Digital Content Standards

Under the Consumer Rights Act 2015, the Service (as digital content) must be:

  • Of satisfactory quality — the Service must meet the standard that a reasonable person would consider satisfactory, taking into account the price paid, any description of the Service, and all other relevant circumstances.
  • Fit for a particular purpose — if you have made us aware of a particular purpose for which you are using the Service, it must be fit for that purpose.
  • As described — the Service must match any description we have provided to you, including in our marketing materials, website, and documentation.

Your Remedies

If the Service does not meet these standards, you are entitled to:

  • Repair or replacement — we will endeavour to fix any defects or issues within a reasonable time and without significant inconvenience to you.
  • Price reduction — if repair or replacement is not possible or not carried out within a reasonable time, you may be entitled to a reduction in the price you pay (which may be up to a full refund).

These statutory rights are in addition to any other remedies available to you under these Terms. Nothing in these Terms shall be construed as excluding, restricting, or modifying your rights under the Consumer Rights Act 2015.

10. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to:

  • Violate any applicable local, national, or international law or regulation.
  • Send or facilitate the sending of unsolicited bulk communications (spam).
  • Transmit any material that is defamatory, obscene, offensive, hateful, or inflammatory.
  • Infringe the intellectual property rights or privacy rights of any third party.
  • Distribute malware, viruses, or any other harmful code or technology.
  • Attempt to gain unauthorised access to any part of the Service, other users' accounts, or any systems or networks connected to the Service.
  • Use automated scripts, bots, or crawlers to access or scrape the Service, except through our published APIs and in accordance with our API documentation.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Resell, sublicense, or make the Service available to third parties without our written consent.
  • Use the Service to engage in any form of fraud, deception, or misleading marketing practices.
  • Circumvent or attempt to circumvent any usage limits, security measures, or access controls.

We reserve the right to investigate and take appropriate action against any user who, in our sole discretion, violates this section, including removing content, suspending or terminating accounts, and reporting to law enforcement authorities.

11. Intellectual Property

Our Intellectual Property

The Service, including all software, algorithms, designs, text, graphics, logos, icons, images, audio, video, data compilations, and the overall look and feel of the platform, is owned by or licensed to Onlyintelligence Ltd and is protected by copyright, trade mark, and other intellectual property laws of the United Kingdom and internationally.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes in accordance with these Terms and your subscription plan. This licence does not include the right to:

  • Modify, adapt, translate, or create derivative works based on the Service.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Copy or reproduce any part of the Service except as strictly necessary for normal use.
  • Remove or alter any proprietary notices, labels, or marks on the Service.

Your Content

You retain all ownership rights in the content you upload, create, or transmit through the Service ("Your Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free licence to use, store, process, and display Your Content solely for the purpose of providing and improving the Service. This licence terminates when you delete Your Content or close your account, except where retention is required by law or for legitimate business purposes (such as backup copies that are automatically purged).

You represent and warrant that you own or have the necessary rights to all content you upload and that such content does not infringe the rights of any third party.

AI-Generated Content

Content generated by our AI features is provided for your use. You are solely responsible for reviewing, editing, and ensuring the accuracy and legal compliance of any AI-generated content before publishing or distributing it. We do not guarantee that AI-generated content is original, accurate, or free from errors.

12. Third-Party Services

The Service integrates with or may link to third-party platforms and services, including social media networks, email service providers, payment processors, and analytics tools. Your use of any third-party service is subject to that third party's own terms of service and privacy policy.

We are not responsible for:

  • The availability, accuracy, or quality of any third-party service.
  • Any loss or damage arising from your use of third-party services accessed through our platform.
  • Changes to third-party APIs or policies that may affect the functionality of our integrations.
  • Content published to third-party platforms through our Service, which remains your responsibility.

We will make reasonable efforts to notify you of any significant changes to our third-party integrations that materially affect the Service.

13. Data Protection

We take the protection of your personal data seriously. Our collection, use, storage, and sharing of personal data is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

We comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Key points include:

  • Data controller: Onlyintelligence Ltd is the data controller for personal data collected through the Service.
  • Lawful basis: We process your data on the basis of contractual necessity (to provide the Service), legitimate interests, consent (where applicable), and legal obligations.
  • Your rights: You have the right to access, rectify, erase, restrict processing of, and port your personal data. You also have the right to object to processing and to withdraw consent where applicable.
  • Data security: We implement appropriate technical and organisational measures to protect your data against unauthorised access, loss, destruction, or alteration.
  • International transfers: Where we transfer personal data outside the United Kingdom, we ensure appropriate safeguards are in place as required by UK GDPR.

Where you use the Service to process personal data of your own customers or contacts, you act as the data controller for that data, and we act as a data processor on your behalf. A Data Processing Agreement is available upon request.

14. Service Availability and Support

Availability

We aim to provide the Service with a high level of availability and reliability. However, we do not guarantee that the Service will be available at all times or without interruption. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will endeavour to provide advance notice where practicable).
  • Emergency maintenance to address security vulnerabilities or critical issues.
  • Factors beyond our reasonable control, including internet outages, third-party service failures, or force majeure events.

Support

Support is available to all users via email at support@storespine.com. We aim to respond to support requests within:

  • Free and Starter plans: 2 business days.
  • Growth plan: 1 business day.
  • Advanced plan: 4 business hours during UK business hours (Monday to Friday, 9:00 AM to 5:30 PM GMT/BST).

These response times are targets and not guaranteed. We will make commercially reasonable efforts to meet them.

15. Limitation of Liability

This section sets out our entire financial liability to you in respect of the Service. Please read it carefully. Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence.
  • Fraud or fraudulent misrepresentation.
  • Any breach of the terms implied by sections 9, 10, and 11 of the Consumer Rights Act 2015.
  • Any other liability that cannot be excluded or limited by applicable law, including under the Unfair Contract Terms Act 1977.

Exclusions (Subject to Law)

Subject to the above, and to the fullest extent permitted by law, we shall not be liable to you for any:

  • Indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, business, anticipated savings, goodwill, or data (whether direct or indirect).
  • Damages arising from your use of or inability to use the Service, including any reliance on AI-generated content.
  • Damages arising from any interruption, suspension, or termination of the Service.
  • Damages arising from the actions or omissions of third-party service providers.

Cap on Liability

Subject to the exclusions above, our total aggregate liability to you for all claims arising under or in connection with these Terms shall not exceed the greater of: (a) the total fees paid by you to us during the 12-month period immediately preceding the event giving rise to the claim; or (b) £100.

The limitations in this section reflect a reasonable allocation of risk between the parties and form an essential basis of the bargain between us. These limitations shall apply whether the liability arises in contract, tort (including negligence), breach of statutory duty, or otherwise.

This section does not affect your statutory rights as a consumer, which are set out in Section 9 above and cannot be excluded or limited.

16. Indemnification

If you are using the Service for business purposes (i.e., you are not a consumer), you agree to indemnify, defend, and hold harmless Onlyintelligence Ltd, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service in violation of these Terms.
  • Your Content or any material you upload, publish, or distribute through the Service.
  • Your violation of any applicable law or regulation.
  • Your infringement of any intellectual property or other right of any third party.
  • Any claim by a third party arising from your marketing activities conducted through the Service.

This indemnification obligation does not apply to consumers. Nothing in this section affects your statutory rights under UK consumer protection legislation.

17. Termination

Termination by You

You may terminate your account and these Terms at any time by cancelling your subscription (if applicable) and deleting your account through your account settings, or by contacting us at support@storespine.com.

Termination by Us

We may suspend or terminate your access to the Service, with or without notice, if:

  • You materially breach these Terms and fail to remedy the breach within 14 days of receiving written notice from us.
  • You engage in activity that we reasonably believe is illegal, fraudulent, or harmful to other users or the Service.
  • You fail to pay any applicable fees when due, after we have given you reasonable notice and an opportunity to update your payment method.
  • We are required to do so by law or a court order.
  • We cease to provide the Service entirely (in which case we will give you at least 60 days' notice and a pro-rata refund of any prepaid fees).

Effect of Termination

Upon termination of your account:

  • Your right to access and use the Service will cease immediately.
  • We will retain Your Content for a period of 30 days following termination, during which you may request an export of your data. After this period, we may permanently delete Your Content.
  • Any provisions of these Terms that by their nature should survive termination will continue in effect, including intellectual property provisions, limitation of liability, indemnification, and governing law.

18. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make changes, we will:

  • Update the "last updated" date at the top of these Terms.
  • Notify you by email and/or through a prominent notice within the Service at least 30 days before material changes take effect.
  • Provide you with the opportunity to review the revised Terms before they become effective.

Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription before the changes take effect. In such cases, any prepaid fees for the unused portion of your subscription will be refunded on a pro-rata basis.

Minor changes (such as corrections of typographical errors, formatting updates, or changes that do not materially affect your rights or obligations) may be made without prior notice.

19. Governing Law and Disputes

Governing Law

These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation, shall be governed by and construed in accordance with the laws of England and Wales.

Complaints Process

We are committed to resolving disputes fairly and promptly. Before taking any legal action, you agree to follow this complaints process:

  1. Step 1 — Contact Support: Email your complaint to support@storespine.com with the subject line "Formal Complaint", describing the issue and the resolution you are seeking. We will acknowledge your complaint within 3 business days.
  2. Step 2 — Internal Review: We will investigate your complaint and aim to provide a substantive response within 14 business days. If additional time is required, we will inform you of the expected timeframe.
  3. Step 3 — Escalation: If you are not satisfied with our response, you may escalate your complaint by writing to legal@storespine.com. A senior member of our team will review the matter and respond within 14 business days.
  4. Step 4 — Alternative Dispute Resolution (ADR): If the dispute remains unresolved after completing Steps 1 to 3, either party may propose mediation or another form of alternative dispute resolution. We are willing to participate in ADR in good faith before resorting to court proceedings.

Jurisdiction

If the dispute cannot be resolved through the complaints process and ADR, both parties agree that the courts of England and Wales shall have exclusive jurisdiction. However, if you are a consumer, you may also bring proceedings in the courts of the country in which you are domiciled within the United Kingdom.

Nothing in this section affects your right to bring a claim through the European Commission Online Dispute Resolution platform (where applicable) or any statutory complaints procedure.
